1. Agreement and scope
These Terms of Service (“Terms”) govern your access to and use of Sokuto, the messaging automation and booking platform operated in Japan by Delgado G.K. (デルガド合同会社) through its TechBridge Solutions team. By creating an account, signing an order form, or otherwise using the service, you agree to these Terms and our Privacy Policy. If you are acting on behalf of a company, you represent that you have authority to bind the company.

2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into contracts in Japan. You are responsible for the accuracy of registration details, safeguarding credentials, and promptly updating account information. We may disable accounts that are incomplete, inaccurate, or violating these Terms.
3. Acceptable use
You agree not to misuse Sokuto. Prohibited activities include sending spam, phishing, illegal, or sexually explicit content; infringing third-party rights; reverse engineering or circumventing security controls; interfering with the service or other users; and using the product to develop competing offerings. Delgado G.K. may investigate suspected abuse and suspend access when necessary to protect the service or comply with law.
4. Service features
Sokuto provides AI-assisted drafting, scheduling tools, localization, and integrations with selected messaging platforms. We may update or remove features to improve reliability, comply with regulations, or address security issues. Material changes that significantly reduce functionality will be communicated in advance when feasible.
5. Plans, fees, and taxes
Paid subscriptions, usage-based fees, and optional add-ons are described on the pricing page or in an order form. Charges are billed in the currency stated at checkout and include Japanese consumption tax unless noted. You authorize us or our payment processors to collect all fees using your chosen payment method. Recurring plans renew automatically at the end of each billing cycle unless canceled under Section 8.
6. Trials, beta features, and previews
We may offer trials, beta access, or early previews at no charge. Such features are provided “as is,” may be withdrawn at any time, and may contain bugs or limitations. We have no obligation to continue offering beta functionality after the evaluation period.
7. Customer responsibilities
You control the content submitted to Sokuto (“Customer Data”). You must obtain any necessary rights or consents to process Customer Data and ensure it is accurate and lawful. You are responsible for configuring user permissions, retaining backups appropriate for your compliance needs, and reviewing audit logs.
8. Cancellation, downgrades, and termination by customer
You may cancel or downgrade your plan at any time via the admin console. Cancellation stops future renewals but does not entitle you to refunds for the current term unless required by law or covered by a specific order form. After cancellation we will disable access at the end of the paid period and begin data export or deletion in accordance with our Privacy Policy and Commerce Notice.
9. Suspension and termination by Delgado G.K.
We may suspend or terminate access immediately if you breach these Terms, fail to pay fees, create security risks, or if continued service would violate law or third-party rights. Where reasonable, we will provide prior notice and an opportunity to cure. Termination for cause does not relieve you of unpaid fees and we may accelerate outstanding charges.
10. Intellectual property
All intellectual property rights in Sokuto, including software, documentation, logos, and brand assets, are owned by Delgado G.K. or its licensors. We grant you a non-exclusive, non-transferable license to use the service during your subscription in accordance with these Terms. No rights are transferred to you except as expressly stated.
11. Feedback
If you provide suggestions or feedback, you grant Delgado G.K. a worldwide, royalty-free, perpetual license to use and incorporate the feedback without obligation. Providing feedback is voluntary.
12. Confidentiality and data protection
Each party must protect confidential information received from the other. We process Customer Data as described in the Privacy Policy and act as a data processor or equivalent under applicable laws. You agree not to disclose our system information or security documentation except to personnel with a need to know.
13. Third-party services and integrations
Sokuto may interoperate with third-party channels (for example LINE or WhatsApp) and infrastructure providers such as Supabase or Google Analytics. Your use of any third-party service is governed by its separate terms. Delgado G.K. is not responsible for third-party failures or for data shared directly with those services.
14. Service availability and support
We strive to provide a reliable service but do not guarantee uninterrupted availability. Planned maintenance will be scheduled outside core hours where possible. Support hours, channels, and response targets are described on our website or in an applicable service plan.
15. Warranties
Except as expressly stated, Sokuto is provided “as is” and “as available.” Delgado G.K. disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, uninterrupted, or that outputs generated by AI features will be accurate for every use case.
16. Limitation of liability
To the maximum extent permitted by law, Delgado G.K.’s aggregate liability arising from these Terms will not exceed the amounts paid to us for the service during the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, nor for loss of profits, revenues, goodwill, or data, even if advised of the possibility. These limitations do not apply to liability that cannot be excluded under Japanese law.
17. Indemnification
You will indemnify and hold harmless Delgado G.K., its members, and personnel from claims, damages, or expenses arising from your breach of these Terms, misuse of the service, or violation of third-party rights. We will notify you promptly of any claim and allow you to control the defense, provided the defense is diligent and lawful.
18. Governing law and dispute resolution
These Terms are governed by the laws of Japan without regard to conflict-of-law principles. The Tokyo District Court has exclusive jurisdiction as the court of first instance. If these Terms are translated, the Japanese version prevails in the event of inconsistency. Before filing suit, the parties will attempt good-faith negotiations for at least 30 days unless injunctive relief is needed.
19. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, labor disputes, governmental actions, or internet disruptions, provided the affected party takes reasonable steps to mitigate the impact.
20. Notices
Legal notices must be sent by email to [email protected] and, if applicable, to the administrator email on file for your organization. Operational messages may be delivered through in-product notifications or emails.
21. Changes to these Terms
We may update these Terms to reflect product changes or legal requirements. Material revisions will be communicated at least 14 days in advance, and continued use of Sokuto after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the service before the effective date.
